1. GENERAL

This Agreement creates binding legal obligations on you. If you do not agree to any of the terms of this Agreement, please do not access the Platforms or use any of the services offered through the Platforms. 

1.1 These terms and conditions constitute the agreement (“Agreement”) between you (“User”) and BYTOO Ltd. and our affiliates (“we,” “us,” or “BYTOO”) regarding your use of our BYTOO battery sharing service (“Service”) in the UK, and applies to our website https://bytoo.uk (“Website”) and to the BYTOO application for mobile devices (“BYTOO App”) using operating systems such as IOS, Android, and/or Windows Mobile (the Website and the BYTOO App are collectively called the “Platform”).

1.2 Your use of the Service is subject to this Agreement, our privacy policy (“Privacy Policy”), which is located on the Platform. You agree to accept our Privacy Policy which constitute integral part of this Agreement.

1.3 We reserve the right to modify the terms of this Agreement at any time. Such changes will become effective when we post the modified Agreement on the Platform. Each time you use the Platform or the Service, the then-current version of this Agreement will apply. If you use the Platform or the Service after a modification of this Agreement, you agree to be bound by the terms of this current version of the Agreement as modified. 

1.4 This Agreement contains important information regarding your rights with respect to the Platform and the Service, including your relationship with us. Please read this Agreement carefully, and review this Agreement regularly.

1.5 Are you a business customer or a consumer? In some areas you will have different rights under this Agreement depending on whether you are a business or consumer. You are a consumer if:

a) You are an individual

b) You are buying products from us wholly or mainly for your personal use (not for use in connection with your trade, business, craft or profession)

1.6 If you are a business customer this is our entire agreement with you. If you are a business customer this Agreement constitutes the entire agreement between us in relation to your usage. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of us which is not set out in this Agreement and that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this Agreement.

2. USER QUALIFICATION

You warrant and represent that: 

a) you are aged 16 years or over; and have the requisite mental and legal capacity to enter into this Agreement and use the Services;

b) any information you submit to us when using the Service is accurate, complete, and current; and

c) your use of the Service does not violate any applicable law or regulation.

3. USER REGISTRATION

3.1 You shall register with the Platform through mobile phone verification or other procedure to become a registered user on the Platform. You acknowledge and agree that the information you provide during the user registration process is accurate and complete, and you shall promptly notify us of any changes to the information. 

3.2 The user account (“Account”) you create following the registration process shall be personal to you. You may not transfer your Account to anyone else, nor permit or assist others to use the Service through your Account, except for those individuals or businesses that have been expressly authorized by us to create accounts on behalf of their employers or customers.

3.3 After successfully completing the User registration process, you may start using the Service through the Platform in accordance with this Agreement.

3.4 We reserve the right to suspend, deny or revoke your access to your Account, the Platform and/or the Service at any time and at our sole discretion. If you are suspended, or have been denied or had your access revoked you may lodge a User complaint in accordance with the procedures set out in this Agreement.

4. ACCOUNT SECURITY

4.1 You are responsible for the security of your Account including login information and password(s). Please ensure that you log out at the end of each session when using the Website and leave the Platform following the correct steps. If you disclose your Account information you may be responsible for any losses and consequences of such acts.

4.2 You shall be responsible for all the actions and results carried out under your Account (including, but not limited to, using BYTOO power bank (“BYTOO power bank”), returning BYTOO power bank, releasing information, disclosing information, opening your address book) whether the actions and results have caused any damage to yourself, us or a third party.

4.3 You must notify us via the Platform immediately if you become aware of any unauthorized use of your Account, or other situation that may cause theft or loss of your Account. Upon notice of unauthorized use we will temporarily lock your Account, but you acknowledge that doing so takes a reasonable amount of time, and it will not be immediate. 

4.4 Your Account may only be used by you and may not be shared with any other person. You agree: 

(a) to keep your Account details private at all times; 

(b) to keep the login verification code to your Account safe and confidential; 

(c) not to transfer any part of your Account (e.g., address book) to anyone else; and 

(d) to comply with all applicable laws and the terms and conditions in this Agreement in connection with your Account.

4.5 You shall be responsible for all actions and transactions made through your Account unless you have closed it, or reported any misuse of your Account to us via the Platform.

4.6 We attach great importance to the protection of your personal information and information of other users. If you come into contact with any personal information or documents of any other user through your use of the Platform or communication with other users, you shall keep such information confidential and will not in any way disclose such to any other party.

5. USING THE SERVICE

5.1 Using BYTOO power bank:

5.1.1. In order to use a BYTOO power bank Users must possess a valid debit or credit card. See accepted debit and credit cards on the unit or Platform. A deposit of 15GBP will be deduced from the bank account. On the return of the BYTOO power bank the deposit minus the corresponding amount of the use time will be refunded to the same valid debit or credit card.

5.1.2. Before you use a BYTOO power bank, you must carefully inspect it for any damage, including, but not limited to, cable presence, cable condition, power bank level functionality etc.

5.1.3. You must promptly notify BYTOO of any problem or issue with the power bank via the customer service email: info@bytoo.uk.

5.1.4. Subject to Clause 11.1 of this Agreement, if you proceed to use a BYTOO power bank in circumstances where: (i) you have been advised or otherwise informed; (ii) it is visually apparent and/or (iii) your inspection indicates, that such BYTOO power bank is damaged, defective or otherwise unsuitable to be used, you will be solely responsible, and we will not be responsible for any damage or injury to your body or property or the body or property of any third party arising from the use of such BYTOO power bank.

5.1.5. You must use the BYTOO power bank in a reasonable, considerate and lawful manner. You may not damage it or restrict others from using it, including, but not limited to, damaging, vandalizing, extinguishing or concealing the BYTOO power bank, removing the cable or other conduct that prevents use of the BYTOO power bank by others.

5.1.6. You must return the BYTOO power bank in the same condition in which it was rented. If the BYTOO power bank is returned damaged or in a state of disrepair, then your deposit will not be refunded, thus being used for the purpose of repairing the power bank.

5.1.7. You may not hire out a BYTOO power bank to anyone else, nor may you use a BYTOO power bank for conducting any business activity. 

5.1.8. After each use of a BYTOO power bank, you can end the rental period by returning the power bank to a station, (rental period ends automatically in the App) and clicking ‘return’ in the App, using the same credit or debit card, ending the fee meter and receiving a refund of the deposit, save the costs for usage.

5.1.9. The data generated by the Platform is conclusive evidence of the period of your use of a BYTOO power bank. Your use of any BYTOO power bank is limited to a period of 5 consecutive days. Any use that exceeds a period of 5 consecutive days is deemed as a disappearance of the BYTOO power bank until the BYTOO power bank is checked back in. If a BYTOO power bank is not returned and checked in within a period of 5 consecutive days, then the BYTOO power bank is deemed lost and your initial deposit will not be returned. If a BYTOO power bank is lost or stolen while you are using it, you must report the disappearance by filing a formal police report with the local police and also notify us within 24 hours following the disappearance via email at info@bytoo.uk.

5.1.10. In addition to, and not intended to limit, any other restrictions in connection with your use of a BYTOO power bank, you may not: 

5.1.11. Modify, dismantle, write on, attach accessories to or otherwise alter or deface a BYTOO power bank or any part of a BYTOO power bank in any way, or use a BYTOO power bank for any advertising or similar commercial purpose;

5.1.12. Allow others to use a BYTOO power bank that you have checked out.

5.1.13. In connection with your use of any BYTOO power bank and the Platform, you represent and warrant, as of each time immediately before using any BYTOO power bank that:

5.1.14. you acknowledge that BYTOO does not guarantee that any BYTOO power bank will be available at the time and in the place you wish to use one, especially at times of high demand;

5.1.15. you acknowledge that BYTOO does not guarantee that you will be able to return the power bank at all times once it has been rented, if all stations in the users vicinity are full of power bank. If this does occur, please contact support via our App or email at info@bytoo.uk.

5.1.16. BYTOO provides BYTOO power bank only as a convenience, and such rental availability is intended to be used only by those persons who are able and qualified to operate a BYTOO power bank on their own and who have agreed to all of the terms of this Agreement.

6. CHARGES AND PAYMENT

6.1 The charges for the use of the Service are as displayed on the BYTOO platform from time to time.

6.2 If you have received a coupon for BYTOO power bank, you may use the coupon in accordance with the user rules provided on such coupon.

6.3 For your convenience, we provide you with several payment options as and when each becomes available in your area:

a) You may link your credit or debit card with your account on the BYTOO App to allow us to automatically deduct all amounts due to us hereunder from your credit card after your use. Pre-paid and cash cards cannot be used as a means of payment.

b) You may also make a deposit into your account and replenish your account using certain payment services. Your account will be debited for your use of BYTOO power bank. When there is insufficient balance on your account, you may use BYTOO power bank on credit for one time before you will be allowed to use the power bank again only when your account is replenished. 

c) Please note that you may not withdraw money from your account under any circumstances.  There are no refunds of any amount in your account balance once deposited.

6.4 In the event that you dispute any charge on your credit or debit card or to your Account, then you should contact us at info@bytoo.uk as soon as you become aware of a disputed charge.

7. COMPLAINTS

7.1 In the event that at any time you have a complaint or dispute regarding the Service or the Platform you can notify us via the Platform or by sending an email to our customer service email at info@bytoo.uk

8. BREACH

8.1 You acknowledge and agree that in order to protect the rights and interests of other users of the Platform and BYTOO, we may take the following actions without notifying you in advance if we determine, in our sole and absolute discretion, that you have breached any of the terms of this Agreement:

a) If your breach results in any loss, harm, expense, cost or diminution in value to us (including the cost of management time), we will deduct the deposit amount from your card to compensate for such loss according to the schedule of charges displayed on the BYTOO Platform from time to time; 

b) We may suspend your Account or permanently block you from using the Platform. 

8.2 After any of the above actions is taken, we will text you a notification message. If you have any question regarding our handling of your violation, you may appeal to our customer service email at info@bytoo.uk

9. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU IF YOU ARE A CONSUMER

9.1 We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with this Agreement, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this Agreement or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time this Agreement was made, both we and you knew it might happen, for example, if you discussed it with us prior to using the Platform.

9.2 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the Platform or our Service including the right to use BYTOO power bank which are: as described and match information we provided to you and any sample or model seen or examined by you; of satisfactory quality; fit for any particular purpose made known to us; supplied with reasonable skill and care and for defective products under the Consumer Rights Act 2015.

9.3 When we are liable for damage to your property. We will make good any damage to your property caused by us while providing our Service. However, we are not responsible for the cost of repairing any pre-existing faults or damage to your property.

9.4 When we are liable for damage caused by defective digital content. If defective digital content which we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill we will either repair the damage or pay you compensation. However, we will not be liable for damage which you could have avoided by following our advice to apply an update offered to you free of charge or for damage which was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

9.5 We are not liable for business losses. If you are a consumer we only supply the Service to you for domestic and private use. If you use the Service for any commercial, business or re-sale purpose our liability to you will be limited as set out in clause 10.

10. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU IF YOU ARE A COMPANY

10.1. Nothing in this Agreement shall limit or exclude our liability for:

10.1.1 death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable);

10.1.2 fraud or fraudulent misrepresentation.

10.1.3 breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or

10.1.4 any matter in respect of which it would be unlawful for us to exclude or restrict liability.

10.2 Except to the extent expressly stated in this Agreement all terms implied by sections 13 to 15 of the Sale of Goods Act 1979 and sections 3 to 5 of the Supply of Goods and Services Act 1982 are excluded.

10.3 Subject to clause 10.1:

10.3.1 we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us; and

10.3.2 our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total sums paid by you for our Service under this Agreement in the 12 months preceding such loss arising.

10.4  Not withstanding clause 9 and clause 10 and without prejudice to the same, you acknowledge and agree that, except as may otherwise be limited by applicable law, BYTOO is not responsible or liable for any claim, including those that arise out of or relate to (a) your use of, or inability to use the Service, any BYTOO power bank, or the Platform, (b) your breach of the terms of this Agreement, or your violation of any law, (c) any negligence, misconduct, or other action or inaction of any third party. You hereby release and waive all claims with respect to any of the foregoing, including those based in contract, tort (including negligence), statutory, or other grounds, even if BYTOO has been advised of the possibility of such claims, to the fullest extent permitted by law.

10.5 You further specifically acknowledge and agree that your use of the Service, BYTOO power bank, and/or the Platform are at your sole risk. All of the Service, BYTOO power bank, and the Platform are provided “as is” and “as available” (and you rely on them solely at your own risk). BYTOO does not represent or warrant that BYTOO power bank or the Platform will be in good repair or error-free, but if you encounter any issue with them, you should notify us by using the BYTOO App, or by emailing or calling our customer service department. You acknowledge and agree that delays, omissions, interruptions, or inaccuracies could exist with respect to any of the Service and/or the Platform.

11. OWNERSHIP AND INTELLECTUAL PROPERTY

11.1 You're agreeing to this Agreement and becoming a User only entitles you to the Service in accordance with the terms and conditions set out in this Agreement. There is no other authorisation, cooperation, partnership or agency between you and us.

11.2 You acknowledge that all intellectual property rights in and to the Platform (including copyright, trademarks, trade names, logos, source and object codes) and relevant proprietary confidential information in the Platform is and shall remain the exclusive property of us or our licensors and nothing in this Agreement shall operate to transfer any intellectual property rights in and to the Platform or any other intellectual property rights owned by us or our licensors to you. You acknowledge and agree that, without the express written authorisation of the owner of such intellectual property rights, you may not use, modify, rent, let, sell, transmit or otherwise violate the above intellectual property rights (such as reverse engineering, decompiling).

11.3 The name and logos of BYTOO are trademarks and trade names of ours and may not be duplicated, imitated or used in whole or in part without our prior written approval. In addition, you acknowledge and agree that all pages, text, graphics, images, button icons and scripts on the Platform form are owned by us and you shall not, or cause any third party to, duplicate, imitate or use in whole or in part without our prior written approval.

11.4 We grant you a limited, royalty-free, non-exclusive, personal, revocable and non-transferable, license to download and use the BYTOO App for your own personal, non -commercial purposes, subject to your compliance with this Agreement. You may use the BYTOO App and our Service only as permitted by this Agreement.

11.5 You are fully and solely responsible for all content, texts and images that you upload, post, transmit or share on the Platform (“User Content”). You may not upload, post, transmit, share, or provide any User Content on the Platform that you did not create or that you do not have permission to upload, post, transmit or provide. You represent that you own or have sufficient other legal rights to all of your User Content. You agree to only provide User Content that is not in violation of any applicable law and does not infringe any third party’s rights (e.g., not in violation of any applicable intellectual property law or in breach of any agreement). Otherwise, you will be solely responsible for all related liabilities. At any time and from time to time, and without your consent, we may review the Platform and delete, remove, or restrict any access to or viewing of any User Content, in our sole discretion and without any notice or cause.  When you upload, post, transmit, share or provide User Content on the Platform, you automatically authorise us to make such copies thereof as we may deem, in our sole discretion, necessary or appropriate. By uploading, posting, transmitting, sharing or providing User Content on the Platform, you automatically grant, and you represent and warrant that you have the right to grant, to us an irrevocable, perpetual, non-exclusive, transferable, royalty free, worldwide right and license to use, copy, publicly perform, publicly display, sublicense, reformat, translate, excerpt, distribute, modify, prepare derivative works of, or incorporate into other works any User Content for any purpose (commercial, advertising, or otherwise).

11.6 You agree that we may access, store and use any information that you provide so long as we comply with the terms of the Privacy Policy and your privacy settings. During the applicable copyright protection period, you hereby grant us and our affiliates a royalty-free license to use such information by means that include storage, usage, duplication, revision, editing, publication, exhibition, translation and dissemination, or include such information in other works using mediums currently known or to be developed in the future. Such use license shall be global, non-exclusive, transferable and sub-licensable and permit the use without the consent of you or any other person or the need to notify you or any other person, so long as the following conditions are met:   

a) You may terminate your license by deleting certain content you have provided or closing your account on the Platform, unless it takes some time to remove the content from the backup system and other systems.

b) We will not use your content to advertise other products and services (including sponsored content) without your consent.

c) We shall obtain your consent if we intend to grant others the right to release your content outside the Platform.

d) We may edit your content and adjust its format (such as translating it, modifying the font, layout or file name or removing metadata), but we will not modify its meaning.

e) With regard to any suggestion or other feedback about the Service you submit, you agree that we may (but are not obliged to) use and share such feedback for any purpose without any compensation to you.

f) In holding and processing your content we will comply with the requirements of the Data Protection Act 2018 and other applicable laws.

12. INDEMNIFICATION

12.1 You agree, without limitation, to indemnify and hold BYTOO and its employees and agents harmless from any liability arising out of or in any way connected to your use of any BYTOO power bank or the Platform caused by your acts, omissions or negligence.

12.2 You agree to indemnify and hold BYTOO and our associated parties jointly providing the Service with us, harmless from all liabilities, claims, losses, damages, expenses, costs (including legal fees incurred at trial, on appeal, or otherwise), debts, fines, penalties and charges, whether direct or indirect, including consequential, exemplary, incidental, special, punitive, lost profits, or otherwise that arise out of or relate to (i) your misuse or inability to use the Platform, (ii) your misuse of any information on or from the Platform, (iii) any unauthorised access or alteration of your transmission or data in connection with the Pl1atform, (iv) any prohibited or malicious action or inaction by you that disrupts the Platform or the Service. 

12.3 If your conduct causes us to pay third parties’ claims, we may claim from you for all the losses after we undertake monetary and other obligations to third parties.

13. TERMINATION OF THIS AGREEMENT

13.1 User Termination. You may terminate this Agreement in any of the following ways:

a) If you notify us via the Platform at any time that you wish to cease using the Service and the Platform;

b) If you cease using the Service and the Platform for a period of 365 consecutive days or more;

c) If you cease using the Service and the Platform and expressly reject any changes to this Agreement before such changes become effective.

13.2 Termination initiated by BYTOO. We may terminate this Agreement in any of the following ways:

a) If you breach any of the terms of this Agreement;

b) If you fail to pay any sums due under this Agreement within 7 days of the date due;

c) If you cease using the Service and the Platform for a period of 365 consecutive days or more;

d) If in our opinion your continued use of the Service or the Platform would be detrimental to the Service, the Platform or other users;

e) If you expressly reject any changes to this Agreement notified to you from time to time.

13.3 Settlement after Termination

a) Upon the termination of this Agreement, we shall still have the rights to make claims against you in accordance with this Agreement for any prior breaches by you or any outstanding financial obligations you may have.

14. COVENANTS AND PROHIBITIONS 

14.1 Covenants. You shall ensure that your conduct is in compliance with the following requirements when you access or use the Service:

a) Compliance with all the applicable laws, including but not limited to tort law, privacy laws, intellectual property laws, tax laws and regulatory requirements;

b) Provision of accurate information and updating them in a timely manner;

c) Using your own credit or debit card while making use of the service;

d) Using your real name, identity and other personal information in the personal data file;

e) Using the Service in a civilized and proper manner.

14.2 Prohibitions. You covenant that you will not use the Platform to conduct any illegal activity or any of the following acts:

a) Using the Platform when you do not have the legal capacity, or you are suspended from using the Service temporarily or permanently;

b) Transferring your Account to any third party without our consent.

c) Infringing others’ legal rights and interests in any way through the Platform, including collecting any other person’s login information or other personal information, using or attempting to use any other person’s account, harassing, insulting, threatening, coercing or hurting any other person, or sending any other person junk mails or other unwelcome messages or infringing any other persons’ intellectual property rights, etc.;

d) Interfering or sabotaging the Platform, its server or its network, or creating unreasonable or inappropriate load on our server or system by any means, or conducting any activity that may result in breakdown, overloading or damages (including spreading worms, viruses, spywares, malwares or other destructive codes) or implanting content or codes on user browsers or devices, or altering or disturbing the render effects or display of our website on the user browser or device by other means, or uploading viruses or other malicious codes;

e) Without legal authorisation, using techniques on purpose to intercept, tamper, steal, record, visit, collect, store, use, spread, disclose or delete information that you are not authorised to access from the Platform, such as other users’ personal information, content or data relating to competitive services (determined at our discretion) or other confidential information which does not belong to you;

f) Violating or evading any laws or any of our policies or rules or any decisions about your Account status;

g) Taking any action to evade our technical and security measures;

h) Infringing our intellectual property rights or other rights, including but not limited to using BYTOO or our other commercial logos in any commercial name, email or website, deleting any notification contained in our services on copyrights, trademarks or other ownership, damaging any of our patents, copyrights, proprietary technology, programs, software or data base information that we possess or legally use, through copying, disseminating, publicizing, decoding, partitioning or producing derivatives etc.;

i) Without our explicit consent, implying or stating that you are an affiliate of the Platform or have any agency relationships with it.

j) Without our permission, renting, leasing, lending, borrowing, trading, selling or reselling our services or other relevant information or data, or monetizing or commercializing any of our service functions;

k) Deleting, shielding or hiding any advertisement in our services;

l) Using automatic programs or other automatic methods to visit our service, adding or downloading address books or sending or redirecting messages;

m) Duplicating, modifying or creating derivatives of the Platform or any other relevant technologies (except otherwise authorised by us), or monitoring the usability, performance or functions of our services for competition purposes, or participating in establishing frame, making mirror images or other activities of imitating the appearance of our website or functions, or changing, modifying, re-editing or altering our services, or changing, modifying or altering other websites in order to create a wrong impression that such websites are related to our services.

n) Visiting our Service via web pages not expressly provided by us;

o) Rewriting any security functions of our Services or the Platform;

p) Assisting or encouraging any violation of this Agreement or our policies;

q) using our Service and BYTOO power bank for any unlawful or illegal activity or which would be considered offensive and/or antisocial behaviour; and

r) Any other unlawful conduct detrimental to the Service and/or the Platform.

14.3 Although we impose standards for conduct on our users, we do not control or regulate our users’ conduct on the Platform. Therefore, we will not be responsible for any content or information disseminated or shared by the users on the Platform.  If you believe that a user has violated the terms of this this Agreement or any of our policies, then please contact us. Although we try to maintain a safe environment, we are not responsible for the posts of any users and disclaim any liability for the conduct or content of any users. If you, under any circumstance, and without our authorisation, commit any prohibited act, or publicise or disseminate any prohibited information, you will be solely responsible for all related liabilities and risks.

15. GOVERNING LAW

15.1 This Agreement and any dispute arising in relation to it shall be governed by and construed in accordance with English law and you and we agree to submit to the exclusive jurisdiction of the English courts.

16. FORCE MAJEURE

16.1 We shall undertake basic security obligations in accordance with law, but will not be responsible for damages resulting from the maintenance of the information network equipment, connection failure, malfunction of the computer, communication or other system, power breakdown, strike, riot, fire, flood, windstorm, explosion, war, government actions, changes of laws, regulations, administrative provisions and other rules, orders of judicial or administrative authorities or acts or omissions of any third party.

17. MISCELLANEOUS

17.1 A person who is not a party to this agreement shall not have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.

17.2 This Agreement (including but not limited to the Privacy Policy and any additional terms that we have notified you of being applicable to specific services) constitutes the entire agreement between the parties with respect to its subject matter. It supersedes all previous agreements and understandings between the parties.

17.3 We may assign, transfer, delegate, or otherwise sub-contract our rights under the terms of this Agreement in our sole discretion. 

17.4 If we fail to enforce a provision of the terms of this Agreement, you agree that such a failure does not constitute a waiver to enforce the provision (or any other provision hereunder). 

17.5 If any provision of the terms of this Agreement is held or made invalid, the invalidity does not affect the remainder of the terms of this Agreement. We reserve all rights not expressly granted in the terms of this Agreement and disclaim all implied licenses.

2.用户资格

c) 您对服务的使用不违反任何适用法律或法规。

3.用户注册

3.1 您应通过手机验证或其他程序在平台注册,成为平台的注册用户。您承认并同意,您在用户注册过程中提供的信息是准确和完整的,如果信息有任何变更,您应及时通知我们。

3.2 您在注册过程中创建的用户账户("账户")应为您个人所有。您不得将账户转让给他人,也不得允许或协助他人通过您的账户使用服务,但经我们明确授权代表其雇主或客户创建账户的个人或企业除外。

3.3 成功完成用户注册程序后,您可根据本协议通过平台开始使用服务。

4.账户安全

4.1 您应对您的账户安全负责,包括登录信息和密码。使用本网站时,请确保在每个会话结束时注销,并按照正确步骤离开平台。如果您泄露了您的账户信息,您可能要对此类行为造成的任何损失和后果负责。

4.2 您应对在您的账户下进行的所有行为及结果(包括但不限于使用汤臣倍健能量银行(以下简称 "汤臣倍健能量银行")、归还汤臣倍健能量银行、发布信息、披露信息、打开通讯录)负责,无论该等行为及结果是否对您本人、我方或第三方造成任何损害。

4.4 您的账户只能由您本人使用,不得与他人共享。您同意

(a) 始终保持您账户信息的私密性;

(b) 对您账户的登录验证码进行安全保密;

(c) 不得将您账户的任何部分(如地址簿)转让给其他人;以及

(d) 遵守所有适用法律以及本协议中与您的账户有关的条款和条件。

4.5 除非贵方已关闭账户或通过平台向我方报告任何滥用账户的行为,否则贵方应对通过账户进行的所有行为和交易负责。

4.6 我们非常重视保护您和其他用户的个人信息。如果您在使用平台或与其他用户交流时接触到任何其他用户的任何个人信息或文件,您应将这些信息保密,不得以任何方式向任何其他方披露。

5.使用服务

5.1 使用 BYTOO 电源箱:

5.1.1.要使用 BYTOO 电源箱,用户必须持有有效的借记卡或信用卡。请参阅设备或平台上可接受的借记卡和信用卡。用户将从银行账户中扣除 15GBP 的押金。退还 BYTOO 电源箱时,押金将扣除相应的使用时间,并退还至同一张有效的借记卡或信用卡。

5.1.2.在使用 BYTOO 电源箱之前,您必须仔细检查其是否有任何损坏,包括但不限于线缆是否存在、线缆状况、电源箱等级功能等。

5.1.3.您必须及时通过客户服务电子邮件 info@bytoo.uk 通知 BYTOO 有关电源箱的任何问题或故障。

5.1.4.在遵守本协议第11.1条的前提下,如果您在以下情况下继续使用比亚图电源盒(i)您已被告知或以其他方式被告知;(ii)肉眼可见和/(iii)您的检查显示,该比亚图电源盒已损坏、存在缺陷或不适合使用,则您将自行承担责任,我们不对因使用该比亚图电源盒而对您的身体或财产或任何第三方的身体或财产造成的任何损害或伤害承担责任。

5.1.5.您必须以合理、体贴和合法的方式使用 BYTOO 电源箱。您不得损坏或限制他人使用,包括但不限于损坏、破坏、熄灭或隐藏 BYTOO 电源箱、拆除数据线或其他妨碍他人使用 BYTOO 电源箱的行为。

5.1.6.您必须以与租用时相同的状态归还 BYTOO 电源箱。如果返还的比亚图电源损坏或处于失修状态,您的押金将不予退还,押金将用于电源的维修。

5.1.7.您不得将毕图电源出租给他人,也不得使用毕图电源进行任何商业活动。

5.1.8.每次使用完 BYTOO 电源箱后,您可以通过将电源箱归还至站点租用期在 App 中自动结束)并在 App 中点击 "归还"结束租用期,使用同一张信用卡或借记卡,结束计费并收到押金退款,节省使用成本。

5.1.9.平台生成的数据是您使用毕图电源的最终证据。您对任何毕图电源的使用仅限于连续 5 天。任何超过连续 5 天的使用将被视为比亚图电源盒的消失,直至比亚图电源盒被重新登记。如果您在连续 5 天内未归还并签收 BYTOO 电源箱,则视为 BYTOO 电源箱丢失,您的初始押金将不予退还。如果您在使用过程中发现比亚图电源丢失或被盗,您必须向当地警方报案,并在丢失后 24 小时内通过电子邮件(info@bytoo.uk)通知我们。

6.收费和付款

6.1 本服务的使用费用不时显示在 BYTOO 平台上。

6.3 为了您的方便,我们会在您所在地区提供多种付款方式:

a) 您可以将您的信用卡或借记卡与您在 BYTOO App 上的账户关联,以便我们在您使用后自动从您的信用卡中扣除本协议项下应付给我们的所有款项。预付卡和现金卡不能用作支付手段。

b) 您也可以使用某些支付服务向您的账户存款或充值。您的账户将因使用汤臣倍健能量银行而被扣款。当您的账户余额不足时,您可赊账使用汤臣倍健移动电源一次,只有当您的账户余额补足时,您才可再次使用移动电源

c) 请注意,在任何情况下您都不得从账户中提取资金。  账户余额一经存入,概不退还。

6.4 如果您对您的信用卡或借记卡或您的账户中的任何费用提出异议,您应在发现有异议的费用后立即通过 info@bytoo.uk 联系我们。

7.投诉

8.破坏

9.如果您是消费者,我们对您遭受的损失或损害的责任

9.1 甲方对乙方造成的可预见损失和损害负责。如果甲方未能遵守本协议,甲方对乙方因甲方违反本协议或甲方未能使用合理的谨慎和技能而遭受的可预见的损失或损害负责,但甲方不对任何不可预见的损失或损害负责。如果损失或损害的发生是显而易见的,或者在签订本协议时,甲方和乙方都知道可能会发生此类损失或损害,例如,乙方在使用平台前与甲方讨论过此类损失或损害,则损失或损害是可预见的。

10.如果贵方是公司,我方对贵方遭受的损失或损害的责任

10.1.本协议的任何条款均不限制或排除我们对以下情况的责任

10.3 在不违反第 10.1 条的前提下:

10.4 在不影响第9条和第10条的前提下,您承认并同意,除适用法律另有限制外,毕图网不对任何索赔负责或承担责任,包括因(a)您使用或无法使用本服务、任何毕图网电源或平台,(b)您违反本协议条款或您违反任何法律,(c)任何第三方的任何疏忽、不当行为或其他作为或不作为而引起或与之相关的索赔。在法律允许的最大范围内,您特此免除并放弃与任何前述行为有关的所有索赔,包括基于合同、侵权(包括过失)、法定或其他理由的索赔,即使毕图欧已被告知此类索赔的可能性。

10.5 您进一步明确承认并同意,您将自行承担使用本服务、BYTOO 电源银行和/或平台的风险。所有本服务、BYTOO 电源银行和平台均 "按原样 ""按可用性 "提供(您须自行承担使用本服务、BYTOO 电源银行和平台的风险)。汤臣倍健不声明或保证汤臣倍健power bank或平台完好无损或不存在任何错误,但如果您在使用过程中遇到任何问题,您应使用汤臣倍健App通知我们,或发送电子邮件或致电我们的客户服务部门。您承认并同意,任何服务和/或平台均可能存在延迟、遗漏、中断或不准确。

11.所有权和知识产权

11.1 您同意本协议并成为用户仅意味着您有权根据本协议规定的条款和条件使用服务。您与我们之间不存在任何其他授权、合作、伙伴关系或代理关系。

11.2 您确认,平台的所有知识产权(包括版权、商标、商品名称、标识、源代码和目标代码)以及平台中的相关专有机密信息是并将一直是我们或我们的许可人的专有财产,本协议中的任何内容均不得将平台的任何知识产权或我们或我们的许可人拥有的任何其他知识产权转让给您。您承认并同意,未经上述知识产权所有者的明确书面授权,您不得使用、修改、出租、出让、出售、传播或以其他方式侵犯上述知识产权(如反向工程、反编译)。

11.3 毕图网的名称和徽标为我方的商标和商号,未经我方事先书面许可,不得全部或部分复制、模仿或使用。此外,您承认并同意,平台表单上的所有页面、文本、图形、图像、按钮图标和脚本均归我方所有,未经我方事先书面批准,您不得复制、模仿或使用全部或部分内容,也不得促使任何第三方复制、模仿或使用全部或部分内容。

11.4 在您遵守本协议的前提下,我们授予您有限的、免版税的、非独占的、个人的、可撤销的和不可转让的许可,允许您为您个人的、非商业的目的下载和使用BYTOO App您仅可在本协议允许的范围内使用BYTOO App和我们的服务。

11.5 您应对您在平台上上传、张贴、传输或共享的所有内容、文本和图像("用户内容")负全部责任。您不得在平台上上传、张贴、传输、共享或提供任何非由您创建或未经您许可上传、张贴、传输或提供的用户内容。您声明您拥有您所有用户内容的所有权或充分的其他合法权利。您同意仅提供不违反任何适用法律且不侵犯任何第三方权利(例如,不违反任何适用知识产权法或不违反任何协议)的用户内容。否则,您将自行承担所有相关责任。未经您的同意,我们可随时自行决定审查平台并删除、移除或限制访问或查看任何用户内容,恕不另行通知或说明原因。  当您在平台上上传、张贴、传输、分享或提供用户内容时,您自动授权我们制作我们自行决定认为必要或适当的用户内容副本。通过在平台上上传、张贴、传输、共享或提供用户内容,您自动授予,且您声明并保证您有权授予我们不可撤销的、永久的、非排他性的、可转让的、免版税的、全球性的权利和许可,以使用、复制、公开表演、公开展示、分许可、重新格式化、翻译、摘录、分发、修改、制作衍生作品,或为任何目的(商业、广告或其他目的)将任何用户内容纳入其他作品。

11.6 您同意,只要我们遵守隐私政策的条款和您的隐私设置,我们可以访问、存储和使用您提供的任何信息。在适用的版权保护期内,您特此授予我们和我们的附属机构免版税许可,允许我们通过存储、使用、复制、修改、编辑、出版、展览、翻译和传播等方式使用此类信息,或将此类信息纳入使用目前已知或将来开发的媒介的其他作品中。此类使用许可应是全球性的、非排他性的、可转让的和可再许可的,并允许在不经您或任何其他人同意或无需通知您或任何其他人的情况下使用,只要满足以下条件即可:  

a) 您可以通过删除您提供的某些内容或关闭您在平台上的账户来终止您的许可,除非从备份系统和其他系统中删除内容需要一些时间。

b) 未经您的同意,我们不会使用您的内容为其他产品和服务(包括赞助内容)做广告。

12.赔偿

12.2 You agree to indemnify and hold BYTOO and our associated parties jointly providing the Service with us, harmless from all liabilities, claims, losses, damages, expenses, costs (including legal fees incurred at trial, on appeal, or otherwise), debts, fines, penalties and charges, whether direct or indirect, including consequential, exemplary, incidental, special, punitive,利润损失,或因以下原因引起或与以下原因有关的其他损失:(i) 您滥用或无法使用平台,(ii) 您滥用平台上或平台上的任何信息,(iii) 您与 Pl1 平台有关的传输或数据的任何未经授权的访问或更改,(iv) 您扰乱平台或服务的任何被禁止的或恶意的行为或不行为。

d) 如果我们认为您继续使用本服务或平台将对本服务、平台或其他用户造成损害;

13.3 终止后的结算

a) 本协议终止后,甲方仍有权根据本协议就乙方之前的任何违约行为或乙方可能负有的任何未履行的财务义务向乙方提出索赔。

14.公约与禁令

c) 通过本平台以任何方式侵犯他人合法权益,包括收集他人登录信息或其他个人信息,使用或试图使用他人账户,骚扰、侮辱、威胁、胁迫或伤害他人,或向他人发送垃圾邮件或其他不受欢迎的信息,或侵犯他人知识产权等;

d) 干扰或破坏本平台、本平台服务器或本平台网络,或以任何方式对本平台服务器或系统造成不合理或不适当的负载,或进行任何可能导致故障、超载或损害的活动(包括传播蠕虫、病毒、间谍软件、恶意软件或其他破坏性代码),或在用户浏览器或设备上植入内容或代码,或以其他方式改变或干扰本网站在用户浏览器或设备上的呈现效果或显示,或上传病毒或其他恶意代码;

e) 未经合法授权,有目的地使用技术拦截、篡改、窃取、记录、访问、收集、存储、使用、传播、披露或删除您无权从平台访问的信息,例如其他用户的个人信息、与竞争服务相关的内容或数据(由我们酌情决定)或其他不属于您的机密信息;

f) 违反或规避任何法律或我们的任何政策或规则,或有关您账户状态的任何决定;

n) 通过非我方明确提供的网页访问我方服务;

o) 重写我们服务或平台的任何安全功能;

p) 协助或鼓励违反本协议或我们的政策;

q) 使用我们的服务和BYTOO 电源银行从事任何非法或违法活动,或被视为攻击性和/或反社会行为;以及

r) 有损于服务和/或平台的任何其他非法行为。

15.1 本协议及与之相关的任何争议应受英国法律管辖并根据英国法律进行解释,您和我方同意接受英国法院的专属管辖。

16.不可抗力

16.1 我们应依法承担基本的安全义务,但对因信息网络设备维护、连接故障、计算机、通信或其他系统故障、停电、罢工、暴乱、火灾、水灾、风灾、爆炸、战争、政府行为、法律、法规、行政规定和其他规则的变更、司法或行政当局的命令或任何第三方的作为或不作为而造成的损失不承担责任。

17.杂项

17.1 根据《1999 年合同(第三方权利)法》,非本协议当事人无权执行本协议的任何条款。

17.2 本协议(包括但不限于隐私政策以及我们通知您适用于特定服务的任何附加条款)构成双方就其主题事项达成的完整协议。它取代双方之前的所有协议和谅解。

17.3 我们可自行决定转让、转移、委托或以其他方式分包我们在本协议条款下的权利。

17.4 如果我们未能执行本协议条款中的某一规定,您同意该未能执行并不构成放弃执行该规定(或本协议项下的任何其他规定)。

17.5 如果本协议条款中的任何规定被认定或无效,该无效不影响本协议条款的其余部分。我们保留本协议条款中未明确授予的所有权利,并否认所有默示许可。
